Be an authorized representative of the company, in the case of a legal entity

4. Description of Services

4.1 Services Offered

MonetiA offers a Billing as a Service platform that allows:

Configuration of pricing models for financial and insurance products
Management of portfolio structures and customer hierarchies
Processing of billing events and fee calculations
Issuance and management of invoices
Analytical reports and dashboards
Integration with existing systems
Portal for end customers

4.2 Usage Limitations

The Services are provided as available and may be subject to limitations, delays, and other problems inherent to the use of the internet and electronic communications. MonetiA does not guarantee that the Services will be available uninterruptedly, without delays, failures, or errors.

4.3 Availability

MonetiA will make commercially reasonable efforts to keep the Platform available 24 hours a day, 7 days a week, except during scheduled maintenance periods, which will be notified in advance whenever possible.

4.4 Modifications to Services

MonetiA reserves the right to modify, suspend, or discontinue, temporarily or permanently, any part of the Services, with or without prior notice. You agree that MonetiA will not be liable to you or third parties for any modification, suspension, or discontinuation of the Services.

5. User Obligations

5.1 Proper Use of the Platform

When using our Platform, you agree to:

Comply with all applicable laws and regulations
Respect intellectual property rights
Use the Services only for legitimate purposes and in accordance with these Terms
Not interfere or attempt to interfere with the proper functioning of the Platform

All Data entered into the Platform

MonetiA grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for your internal business purposes, subject to these Terms.

8. Limitation of Liability

8.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. MONETIA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Liability

UNDER NO CIRCUMSTANCES WILL MONETIA, ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, REPUTATION, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

YOUR ACCESS OR USE, OR INABILITY TO ACCESS OR USE THE PLATFORM
ANY CONDUCT OR CONTENT OF THIRD PARTIES ON THE PLATFORM
ANY CONTENT OBTAINED FROM THE PLATFORM
UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

8.3 Value Limitation

IN ANY CASE, MONETIA'S TOTAL LIABILITY WILL BE LIMITED TO THE AMOUNT PAID BY YOU TO MONETIA IN THE LAST 12 (TWELVE) MONTHS OR R$ 1,000.00 (ONE THOUSAND REAIS), WHICHEVER IS GREATER.

8.4 Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Thus, some of the limitations above may not apply to you.

9. Term and Termination

9.1 Term

These Terms will remain in effect while you use the Platform or until they are terminated by you or MonetiA.

9.2 Termination by User

You may terminate your account at any time by discontinuing the use of the Platform and notifying MonetiA.

9.3 Termination by MonetiA

MonetiA may, at its sole discretion, suspend or terminate your access to the Platform, at any time and for any reason, including, but not limited to:

Violation of these Terms
Misuse of the Platform
Suspicion of fraudulent or illegal activities
Non-payment of amounts due
Requests from legal authorities

9.4 Effects of Termination

After termination:

Your right to access and use the Platform will cease immediately
MonetiA may delete or retain your Data in accordance with its Privacy Policy and legal obligations
The provisions of these Terms that, by their nature, should survive termination, will remain in effect

10. Modifications to Terms

10.1 Updates

MonetiA reserves the right to modify these Terms at any time, at its sole discretion. Changes will take effect immediately after the updated Terms are posted on the Platform.

10.2 Notification

MonetiA will make reasonable efforts to notify users about significant changes to these Terms, through notification on the Platform, email, or other means.

10.3 Continued Acceptance

Your continued use of the Platform after the posting of modified Terms constitutes acceptance of those modifications. If you do not agree with the modified Terms, you must stop using the Platform.

11. General Provisions

11.1 Applicable Law

These Terms will be governed and interpreted in accordance with the laws of the Federative Republic of Brazil, regardless of conflicts with legal principles.

11.2 Jurisdiction

The jurisdiction of the City of Rio de Janeiro, State of Rio de Janeiro, is elected to resolve any doubts or controversies arising from these Terms, with express waiver of any other, however privileged it may be.

11.3 Severability

If any provision of these Terms is deemed invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

11.4 Assignment

You may not assign or transfer these Terms, or any rights and licenses granted under these Terms, without MonetiA's prior written consent. MonetiA may assign these Terms without restrictions.

11.5 Waiver

MonetiA's failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

11.6 Entire Agreement

These Terms, together with the Privacy Policy and any applicable additional terms, constitute the entire agreement between you and MonetiA regarding the use of the Platform and supersede any prior agreements between you and MonetiA.
